Terms for Third Party Vendors (SCS Marketplace)

Third-party vendors refer to independent service providers, contractors, suppliers, or businesses that offer their services or products to clients through the Serge Creator Studios platform. These vendors operate under their business entities and are not direct employees or subsidiaries of Serge Creator Studios. The terms listed below are additional terms to Terms for Contractors and related to Third Party Vendors.

Obligations of Third-Party Vendors in Case of Client Chargebacks or Refund Requests

Serge Creator Studios processes transactions between clients and third-party vendors as a marketplace facilitator and payment processing platform. If a client initiates a chargeback, dispute, or refund request, the following terms shall apply to all third-party vendors operating through the platform:

Mandatory Fund Return:

The third-party vendor acknowledges and agrees that, in case of a chargeback or refund request, they must immediately return the full amount received for the disputed transaction to Serge Creator Studios.

This includes all associated fees, such as processing charges, merchant fees, and administrative costs incurred due to the dispute.

Liability for Chargebacks and Fees:

If a client’s chargeback or dispute results in a financial loss to Serge Creator Studios, the vendor is fully responsible for reimbursing the platform.

Any non-compliance with this policy may result in the vendor being removed from the platform, suspended from future transactions, or subjected to legal action for debt recovery.

No Independent Refunds or Chargebacks:

Vendors shall not issue refunds directly to clients outside Serge Creator Studios’ official dispute resolution process.

Any independent refund action without prior authorization may result in permanent removal from the platform and additional penalties.

Administrative and Collection Costs:

If Serge Creator Studios is required to engage in debt collection efforts due to a vendor’s failure to return disputed funds, the vendor agrees to cover all legal and administrative costs associated with such efforts.

Compliance with Platform Policies:

By operating as a third-party vendor on Serge Creator Studios, the vendor acknowledges that all transactions are subject to the platform’s no-chargeback, no-refund policy unless explicitly authorized by both the platform and the client.

Vendors must comply with the dispute resolution procedures outlined by Serge Creator Studios and cooperate fully to resolve any transaction disputes.

Enforcement and Penalties:

Failure to return disputed funds promptly may result in:

• Immediate suspension from Serge Creator Studios

• Debt collection proceedings

• Legal action for recovery of funds

• Additional financial penalties for non-compliance

By accepting payments through Serge Creator Studios, the vendor agrees to these terms and acknowledges their responsibility in client disputes, chargebacks, or refund requests.

Non-Compete & Direct Engagement Restriction

To protect the integrity of our marketplace and the business relationships established through Serge Creator Studios, Third-Party Vendors agree to the following non-compete and non-circumvention terms:

No Direct Engagement with Clients

Vendors shall not solicit, contract, or engage in direct business with any client introduced or referred through Serge Creator Studios outside of the platform.

Any communication or business transaction must be conducted exclusively through the platform unless explicitly authorized in writing by Serge Creator Studios.

Non-Compete Period

Vendors agree not to engage in direct business with clients they have serviced through the platform for a period of one (1) year following the final service delivery of the respective project.

This restriction applies to direct contracts, employment, or any form of service provision that bypasses Serge Creator Studios' role as a marketplace and payment facilitator.

Breach Consequences & Liquidated Damages

If a vendor violates this agreement by circumventing the platform and engaging directly with a client, Serge Creator Studios reserves the right to:

• Terminate the vendor’s access to the platform.

• Recover damages, including lost revenue and fees that would have been earned through the platform.

• Pursue legal action for breach of contract and enforce financial penalties.

Exceptions & Written Approval

Vendors may engage with past clients only if they obtain written approval from Serge Creator Studios or if the engagement falls outside the one-year restriction period.

By accepting and conducting business through Serge Creator Studios, all vendors acknowledge and agree to these non-compete and non-circumvention terms, ensuring fair and ethical business practices within the platform.
